Terms and Conditions — Podforge Studios

1. About These Terms

These Terms and Conditions ("Terms") govern your use of services provided by Frogmore Studios LLC, doing business as Podforge Studios ("Podforge Studios," "we," "us," or "our"), located in Anderson, South Carolina.

By purchasing, booking, or using any service offered by Podforge Studios — including studio recording sessions, strategy consulting offers, and add-on services — you ("client," "you," or "your") agree to be bound by these Terms in full.

If you do not agree with any part of these Terms, do not purchase or use our services.

2. Services Offered

Podforge Studios offers the following categories of services:

Studio Recording Services — In-person video and audio recording sessions at our Anderson, SC facility. Services are available across multiple tiers and session formats, including but not limited to individual session bookings, multi-session packages, and any other studio recording offerings made available by Podforge Studios from time to time.
Strategy Consulting Services — Content strategy and podcast development services including The Preform (Authority Blueprint), Foundry Session, and The Forged Method™.
Add-On Services — Post-production and supplementary services including social clips, audio cleanup, basic editing, thumbnail design, and remote guest integration.

All services are subject to availability. Podforge Studios reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Payments and Pricing

All prices are listed in US dollars and are subject to change without notice. Introductory pricing is available for a limited time and may be adjusted at our discretion.

All purchases are one-time payments unless otherwise stated in writing.
No recurring charges or subscriptions are applied unless explicitly agreed to in writing.
Payment is due in full at the time of booking or purchase.
Podforge Studios uses Stripe as its primary payment processor. By making a payment you agree to Stripe's terms of service.
Accepted payment methods include major credit and debit cards, and any additional methods made available at checkout.

Introductory Pricing Notice: Current pricing reflects introductory early adopter rates. Podforge Studios reserves the right to adjust pricing at any time. Purchases made at introductory rates are honored at the price paid.

4. Refund Policy

Studio recording sessions are eligible for a full refund if cancelled 72 or more hours before the scheduled session start time.

Strategy consulting services (The Preform, Foundry Session, The Forged Method™) are non-refundable. All sales are final.

The following refund terms apply to studio recording sessions:

Situation	Outcome
Cancellation 72+ hours before session	Full refund issued to the original payment method within 5–7 business days.
Refunds on sessions of 4 hours or more	Issued minus the original payment processing fee (~3%). Stripe does not return processing fees on refunded transactions.
Cancellation under 72 hours	No refund. A non-transferable studio credit will be issued to the original client for use on a future booking.
No-show	Session forfeited after 15 minutes. No refund and no studio credit issued.
Unused session time	No refund or credit for unused time within a booked session.

Studio credits are non-transferable and are locked to the original client. Credits may not be applied to strategy consulting services. Expiration terms will be communicated at the time of issuance.

All refunds are processed manually through Stripe. If you believe you are entitled to a refund, contact us at [email protected] within 7 days of your cancellation.

5. Cancellation and Rescheduling Policy

We understand that schedules change. The following policies apply to all studio session bookings:

Cancellation	Outcome
72+ hours before session	Full refund issued to the original payment method.
Under 72 hours before session	No refund. Non-transferable studio credit issued to the original client.
No-show (no prior notice)	Session forfeited after 15 minutes. No refund and no studio credit issued.

Rescheduling	Fee
72+ hours before session	One complimentary reschedule per booking, subject to availability.
Under 72 hours — sessions of 1–2 hours	$25 rescheduling fee. No refund on original booking. New date subject to availability.
Under 72 hours — sessions of 3–5 hours	$50 rescheduling fee. No refund on original booking. New date subject to availability.
Under 72 hours — sessions of 6 hours or more	$75 rescheduling fee. No refund on original booking. New date subject to availability.

Rescheduling fees apply to all studio recording sessions and packages regardless of tier name or format. Session length determines the applicable fee tier.

If a client chooses not to pay the rescheduling fee, the standard cancellation policy applies — a full refund if notice is given 72 or more hours before the session, or a non-transferable studio credit if notice is given under 72 hours. Declining to pay the rescheduling fee does not entitle the client to a refund outside of the standard cancellation terms.

Late arrivals — Sessions begin at the scheduled time regardless of client arrival. Late arrivals do not extend session time. Additional time beyond the booked session is subject to availability and billed at the standard hourly rate.
First-time grace — At Podforge Studios' discretion, a one-time policy fee waiver may be extended for a first late cancellation or reschedule. If granted, the client will receive a policy reminder and the exception will be documented in their client record. Subsequent violations will be enforced without exception.
Booking suspension — Podforge Studios reserves the right to suspend booking privileges for clients who repeatedly cancel, reschedule, or arrive late in violation of this policy. Clients subject to suspension will be notified in writing.

For strategy consulting services (The Preform, Foundry Session, The Forged Method™), scheduling is managed directly between the client and Podforge Studios after purchase. Strategy consulting purchases are non-refundable regardless of scheduling changes.

6. Intellectual Property

The following terms govern ownership and use of content recorded or created through Podforge Studios services:

Client-owned content — All content recorded by the client during studio sessions, including raw footage, audio files, and program feeds, is the intellectual property of the client. Podforge Studios claims no ownership over client-created content.
Podforge Studios intellectual property — All strategy documents, frameworks, methodologies, templates, branded deliverables (including the Authority Blueprint, Authority Roadmap, and FORGED Framework™), and proprietary systems created by Podforge Studios remain the intellectual property of Frogmore Studios LLC.
Deliverables license — Strategy deliverables provided to clients are licensed for personal and commercial use by the client. They may not be resold, redistributed, or represented as the client's own original work.
Portfolio use — Podforge Studios reserves the right to reference the existence of client work in its portfolio and marketing materials. Podforge Studios will not share confidential client content without written permission.
Third-party content — Clients are solely responsible for ensuring they have the rights to any third-party content, music, graphics, or materials brought into or recorded during their session. Podforge Studios assumes no liability for client use of third-party intellectual property.

7. Liability Limitations

Podforge Studios takes reasonable care in the operation of its studio and the delivery of its services. However, the following limitations apply:

Equipment failure — In the event of equipment failure during a session, Podforge Studios will make reasonable efforts to remedy the issue or reschedule the session at no additional charge. Podforge Studios is not liable for lost time, lost revenue, or consequential damages resulting from equipment failure.
File loss or corruption — Podforge Studios is not liable for loss, corruption, or damage to client files after delivery. Clients are responsible for backing up their files upon receipt.
Remote guest quality — Podforge Studios cannot guarantee the video or audio quality of remote guests. Remote guest quality is dependent on the guest's internet connection, hardware, and environment. Podforge Studios is not liable for degraded remote guest quality.
Force majeure — Podforge Studios is not liable for failure to perform services due to circumstances beyond its reasonable control, including but not limited to natural disasters, power outages, internet disruptions, or public health emergencies.
Maximum liability — In no event shall Podforge Studios' total liability to a client exceed the amount paid by the client for the specific service giving rise to the claim.
Consequential damages — Podforge Studios is not liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services.

8. Acceptable Use — Studio Sessions

By booking a studio session at Podforge Studios you agree to the following terms of acceptable use:

Clients may not record content that is illegal, defamatory, obscene, or in violation of any applicable law or regulation.
Clients may not record content that infringes on the intellectual property rights of any third party without proper licensing or authorization.
Clients may not record adult content, explicit material, or content that promotes violence, hatred, or discrimination.
Clients are responsible for the behavior of all guests and crew members present during their session.
Clients may not bring weapons, illegal substances, or hazardous materials onto the premises.
Clients may not modify, damage, or tamper with studio equipment, fixtures, or furnishings. Clients will be held financially responsible for any damage caused during their session.
Podforge Studios reserves the right to terminate any session at any time if these acceptable use terms are violated, with no refund or credit issued.
Food and beverages are permitted in designated lounge areas only. No food or beverages are permitted in the recording studio.
Complimentary refreshments and the coffee bar are available exclusively for studio session participants — not for on-site observers or guests.

9. Studio Conduct and Environment

To ensure the best possible recording environment for all clients, the following conduct standards apply:

All cell phones must be set to silent before entering the recording studio.
On-site observers and crew must remain silent during active recording.
Podforge Studios cannot guarantee silence from on-site observers or people in the lounge during recording sessions.
Any disruptions to recordings caused by on-site guests are the responsibility of the client.
Clients are responsible for briefing their crew on studio and lounge etiquette before arrival.
Maximum studio occupancy is subject to safety and space limitations. Podforge Studios reserves the right to limit the number of on-site guests.

10. Strategy Services Terms

The following additional terms apply to strategy consulting services:

The Preform — Delivery of the Authority Blueprint is contingent on the client completing the intake questionnaire. The 5–7 business day delivery window begins upon receipt of the completed questionnaire, not upon purchase.
Foundry Session — The 30-minute follow-up meeting included with the Foundry Session must be scheduled within 30 days of Blueprint delivery. Unused follow-up meetings expire after 30 days.
The Forged Method™ — Three monthly strategy sessions are included over a 90-day engagement. Sessions must be used within the 90-day period and do not roll over. The engagement begins upon completion of the initial Foundry Session.
Strategy deliverables are based on information provided by the client. The quality and accuracy of deliverables is dependent on the completeness and accuracy of client-provided information.
Podforge Studios does not guarantee specific business outcomes, audience growth, revenue increases, or other results from the use of strategy services.

11. Privacy and Data

Podforge Studios collects personal information including name, email address, and phone number for the purpose of booking management, service delivery, and communication.

Client information is never sold to third parties.
Client information may be shared with service providers necessary for the operation of our business (e.g. payment processors, scheduling software).
Clients who opt in to SMS communications may opt out at any time by replying STOP.
Clients who opt in to marketing communications may unsubscribe at any time.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of Podforge Studios services shall be resolved in the courts of Anderson County, South Carolina.

13. Changes to These Terms

Podforge Studios reserves the right to update or modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Your continued use of our services following any changes constitutes acceptance of the updated Terms.

It is your responsibility to review these Terms periodically for changes.
